BYLAWS
ARTICLE I – NAME
This Association shall be known as the Knoxville Police Department Citizens Police Academy Alumni Association. The abbreviation of the name shall be KPD/CPAAA. The actions of this Association shall be voluntary.
ARTICLE II – PURPOSE
The purpose of this Association shall be:
a. To maintain a relationship with the Knoxville Police Department as a support group; to provide assistance and services which partner and support the Knoxville Police Department and its uniformed officers
b. To stimulate education in the practices and procedures of the Knoxville Police Department, and other law enforcement issues
c. To open channels of communication, dispel misconceptions, and promote a better understanding between the citizenry of Knoxville and the police department
d. To support future Knoxville Police Department Citizen’s Police Academy classes, and develop closer contact the graduates of these classes
e. To interact with other Citizen’s Police Academies to promote or implement mutual areas of interest.
ARTICLE III – ORGANIZATION
These bylaws shall be accepted and adopted by a majority vote of the organization before being chartered or taking action as an Association. Eight (8) members shall be necessary to maintain the Association subject to and governed by these bylaws.
ARTICLE IV – MEMBERSHIP
The Association shall not practice any discrimination on the basis of race, ethnicity, religion, gender, age, national origin, or physical or mental limitations.
There shall be one class of members with the qualifications being persons who have successfully graduated from the Knoxville Police Department Citizens Police Academy.
The Knoxville Police Department Liaison shall consist of one officer from the Knoxville Police Department to serve as liaison to the Association as designated by the Knoxville Police Chief. This officer will neither pay dues nor have any voting power. All correspondence for the KPDCPAAA should be addressed to P.O. Box 3610, Knoxville, TN 37927.
Any member may be suspended or terminated for cause and upon reasonable notice. Sufficient cause for such suspension or termination of membership shall be willful violation of the bylaws or any lawful rule or practice duly adopted by the Association. In addition, any member found guilty of a felony or a misdemeanor involving moral turpitude, shall be terminated from the Association. The Knoxville Police Chief shall also be notified.
ARTICLE V – MEETINGS
Regular meetings of the Association shall be held once each month as determined by the Association during its January meeting, or as directed by the President or the Board. No regular meeting will be held in December unless absolutely necessary.
The annual election of officers shall be by ballot at the August meeting. The installation of officers will be at the September meeting.
Those present and eligible to vote at a given meeting shall constitute a quorum.
ARTICLE VI – OFFICERS/EXECUTIVE COMMITTEE
Officers must be members in accordance with ARTICLE IV – Section 1. Only members who have attended at least six (6) meetings in a calendar year may be elected as officers.
The officers of this Association shall consist of four (4) elected officers: President, Vice President, Secretary, and Treasurer. The immediate Past President shall serve with the current elected officers as part of the Executive Committee.

3. Term of Office
Officers are elected to serve a term of one (1) year with the possibility of re-election to an unlimited number of terms.

4. Nominations/Elections
A Nominating Committee will consist of three members: one appointed by the President and two elected from the floor at the July meeting. The Nominating Committee shall present its recommendations for officers at the regular August meeting. Nominations from the floor will be received during this meeting. Only eligible members (those who have attended at least six (6) meetings in a calendar year) may be nominated. A replacement(s) will be elected from the floor if necessary in the event they are one of the nominees. The officers shall be elected by secret ballot at the regular September meeting. Voting shall be in person. The election shall be monitored by the Knoxville Police Department Liaison Officer to the Alumni.

5. Successors
In the event that an officer, except the President, cannot fulfill his/her term of office, the President shall name a successor to fill the remainder of the term. The remaining Executive Committee members shall vote to approve or disapprove the President’s nominee. The Vice President shall fill the remaining unexpired term of the President should there be a vacancy. If more than one officer leaves, a special election will need to be called. The individual vacating an office regardless of reason shall be responsible for transferring all records, Association property, and other materials to the successor and updating said officer.
ARTICLE VII – DUTIES OF OFFICERS
Section
1. President
The President shall preside at all meetings of the Association and Executive Committee and act as chair. The President shall have the power to establish Non-Standing committees and appoint committee chairs for both Standing and Non-Standing committees and perform such other duties as pertains to the office of President. The President shall ensure that the bylaws and policies of the Association are enforced, and the purposes of the Association as described in ARTICLE II are accomplished. The President shall make available financial statements to the Knoxville Police Department Citizens Police Academy Alumni Association Liaison Officer through the Secretary and Treasurer.

2. Vice President
The Vice President shall act in the absence of the President and perform such duties as pertain to the office of Vice President.
Section 3. Secretary
The Secretary shall keep a record of all meetings of the Association including formal agendas and meeting minutes, retain all papers and written correspondence pertaining to the membership and activities of the Association, and maintain the bylaws and amendments thereto. The Executive Committee or the Association will review such records no less than annually. The Secretary shall maintain an attendance roster and be responsible for all correspondence. The Secretary will also perform such other duties as pertains to the office of the Secretary.
Section 4. Treasurer
The Treasurer shall maintain all financial records of the organization, collect, deposit and pay any and all bills and sign all checks as authorized by the Executive Committee. The President and Vice President shall also be on the signature card of the checking account only to write checks in the absence of the Treasurer. All bills are to be paid on a timely manner. The Treasurer shall serve on the Budget/Finance Committee. The Treasurer shall report to the Association a monthly statement of account(s) and submit quarterly and end of year written summaries of collections, distributions, and balance(s) to the Executive Committee. The Treasurer shall perform such other duties as pertains to the office of the Treasurer.
ARTICLE VIII -STANDING COMMITTEES
The President shall, with the approval of the Executive Committee, establish the following Standing committees. Standing committee reports shall be made at each Association meeting.
Section
1.Program Committee
The Program committee shall be chaired by the Vice President and will be responsible for programs for the Association.

2.Publicity Committee
The Publicity committee shall be chaired by a member selected by the Executive Committee, and shall be responsible for notifying media of any activities conducted by the Association that are newsworthy and develop ideas to promote interest in the Citizens Police Academy.

3.Finance Committee
The Publicity committee shall be chaired by the Treasurer. The committee shall advise and implement ways and means for increasing the revenue of the Association. The members of the committee shall assist the Treasurer and review the books annually:
a. Long-term monies.
b. Short-term fundraisers.
Section
4.Nominating Committee
The Nominating committee shall consist of three (3) members; one appointed by the President, and two (2) elected from the floor at the July meeting. Following the July meeting, the committee will be provided with a list of all members who have attended a minimum of 6 regular meetings starting with the preceding July by the Secretary. The committee will contact each eligible member prior to the August meeting, and submit a list of nominees for officers at the August meeting. Election of officers shall be at the September meeting. The members of the committee will serve as tellers for the election unless they are one of the nominees. A replacement or replacements will be elected from the floor if necessary. The election shall be monitored by the Knoxville Police Department Liaison Officer to the Alumni.
ARTICLE IX – GENERAL PROVISIONS
Section
1. Fiscal Year
The fiscal year of the Association shall be October 1 to September 30.

2. Association Properties
All properties purchased by or acquired by the Association will be marked and inventoried on a list; a copy of which shall remain with the elected President, Secretary, and KPD Liaison, to be passed on to any successors. Location of said property shall also be specified on the list. If the storage location changes, all copies shall be changed to reflect the new location.

3. Distribution of Assets
In the event of dissolution of the
KPD/CPAAA, voluntary or involuntary, or otherwise, then all of the property
assets of the Association will go to one or more non-profit organizations. The assets and property so transferred,
if any, will be used solely and exclusively for charitable purposes. In the event of dissolution, no portion
of the assets or property or funds will ever be distributed to any of the
officers, or members of the Association.

4. Amendments
A majority vote of a quorum of the membership present at the October regular meeting, or at any special meeting called for the purpose, will be required to alter, amend or repeal these bylaws, and for new bylaws to be adopted and added. A written notice of such amendments with the basis for the proposed change must be submitted to all members 14 (fourteen) days prior to the next regular meeting, at which time they will be read and voted upon. The Secretary shall revise the bylaws to reflect the approved change and distribute it to the members. A revised copy of the bylaws shall be given to the Knoxville Police Department Citizens Police Academy Alumni Association Liaison Officer and the Knoxville Police Chief.

5. Robert’s Rules of Order
The KPD/CPAAA will be governed by common accord. Any disputes arising in any meeting or regarding any action or lack thereof will be handled in accordance with Robert’s Rules of Order, Newly Revised.
The above bylaws being duly amended by a majority vote of quorum of the qualified members present at the meeting duly held on Thursday, December 1, 2005.
