Call to Order
The meeting was called to order by Martha Dooley at 12:21. There was not a quorum for this meeting.

Approval of the Minutes
Martha asked board members to review the minutes from the April 2004 board meeting.

President’s Report – Martha Dooley
Martha distributed the nominating committee recommendations for the 2005 board elections. (Quorum note: In anticipation of a lack of quorum, it was assumed all members of the nominating committee approved of the slate of candidates and officers, providing two affirmative votes by Cassandra McGee and Harold Byrd. Additionally, the report was provided to Neal Denton who notified the office around 10:00 a.m. that he could not attend. Neal approved of the report.)

Martha asked for discussion and a motion. Mark Cawood made a motion to accept the nominating committee report and elect the members and officers by acclamation. Tim seconded the motion. Approval was unanimous. Election results are as follows:

  • New board members elected to a three-year term: Tisha Calabrese (07) and Goldie Simpkins (07)
  • Current board members elected to second three-year term: Terry Faulkner (07) and Scott Frith (07)
  • Special directors elected to one year terms: Harold Byrd, Kim Hansard, Mary Lou Horner, Edythe McNabb, Neal Denton, Lori Tucker and Sara Surak. All special directors are continuing from last year with the exception of Sara Surak. Sara Surak will represent the University of Tennessee.
  • Officers elected: President-elect is Cassandra McGee, Internal VP is Scott Frith, External VP is Mark Cawood, Treasurer is Jenny Raines and Secretary is Harold Byrd.
  • All other current board members continued their terms with no additional action needed with the exception of Sam Maynard. Sam is rotating off for at least one year and is eligible for a new regular term in July 2005. Dan McGehee, Mickey Mallonee, Beth Bowman and Katherine Steed all retired from the board for business and personal reasons.

Martha reminded the budget committee it would need to meet before the next meeting and come up with a proposed budget for 2004-2005. Martha, Jenny and Page will review the budget.

Martha asked the board to form the Orchids & Onions committee. A list was distributed for sign-up for this committee. The following signup up: Martha Dooley, Janet McGaha, Mickey Mallonee, Edythe Nelle McNabb, Johnnie Conner, Susan Rudell, and Jenny Raines. A chairperson has NOT been determined.

There was a brief discussion of the July board meeting date because of the July 5th holiday and because Tom will need to be out of town July 1st and 8thon a family vacation/reunion trip. The consensus was to have the board meeting anyway on July 1st and Tom will prep the executive committee and staff on any issues plus he would be available by phone for any pressing issues.

Martha asked Tom to report on the proposed Clean Business Program. Tom and Cortney reported that the next membership appeal will be a Clean Business Program with the slogan "Clean Mean$ Green". A prototype door sticker was circulated. Material will be brought to the board as it is developed.
